Terms of Service

These Terms of Service ("Terms") govern access to SurgeIQ, a software product operated by ProfitLine AI LLC ("ProfitLine," "we," "us," or "our"). SurgeIQ is a product and brand name, not a separate legal entity. By using SurgeIQ, you agree to these Terms for yourself and, if applicable, for the company or organization you represent.
1. The Service
SurgeIQ provides business-to-business lead intelligence and workflow tools focused on crisis-timed demand signals. Current features may include business discovery and sourcing, enrichment, public website analysis, signal intelligence, surge scoring, timing recommendations, evidence summaries, offer recommendations when enabled, sales-script support, shared company lead pools, lead claiming and assignment, suppression, notes, touch history, limited configured pipeline movement, browser calling, assigned SurgeIQ/Twilio numbers, inbound callback forwarding, billing, and related account administration.
SurgeIQ is not a general-purpose CRM, legal compliance service, telecommunications carrier, payment processor, or guarantee of sales results.
2. Eligibility and Accounts
You must be at least 18 years old and authorized to use SurgeIQ for business purposes. You are responsible for accurate account information, protecting credentials, and all activity under your account. Company owners and admins are responsible for authorizing users, supervising reps, and managing company settings. Solo operators are responsible for their own account and settings. ProfitLine internal users and contractors must follow the rules and billing flows assigned to their membership.
You may not share credentials, allow unauthorized access, bypass company boundaries, or use another customer's account or data.
3. Lead and Business Data
Lead and business information may come from public sources, third-party datasets, provider APIs, customer activity, website-derived enrichment, crisis and event data, and derived or inferred signals. Records may include business names, contact details, addresses, websites, profile/listing data, reviews where available, geography, categories, crisis relationships, scores, recommendations, and workflow history.
Data can be stale, duplicated, incomplete, unavailable, inaccurate, incorrectly sourced, or based on an inference that later proves wrong. You are responsible for validating information before relying on it, contacting a business, updating your own systems, or making a sales decision.
4. Recommendations and Results
Surge scores, timing windows, outreach timing, offer recommendations, scripts, evidence summaries, signal explanations, and other recommendations are decision-support outputs. They are not guarantees of demand, business need, contactability, consent, successful outreach, meetings, sales, revenue, profitability, ROI, timing accuracy, data accuracy, or any business result.
5. Lead Access Model
Access is subscription-based and depends on the current account, membership, billing, and access state. SurgeIQ provides access to currently available crisis-triggered lead intelligence that matches your configuration. We do not guarantee lead volume, quality, freshness, geography, category coverage, availability, exclusivity, territory, category reservation, or permanent ownership of an entire lead pool unless separately agreed in writing.
Lead pools and assignments may change as records are updated, suppressed, claimed, assigned, removed, or made unavailable.
6. Handling Lead Information
You may use lead information for your internal business purposes through supported product workflows. Where copying, transmission, export, or transfer to your own tools is supported, you are responsible for lawful downstream handling, permissions, security, suppression, and retention. You may not scrape SurgeIQ, automate bulk extraction, bypass access controls, resell or redistribute lead data, compile a competing dataset, or use the Service in a way that creates provider, carrier, legal, security, or abuse risk.
7. Billing
Paid subscriptions are processed through Stripe. Current billing paths may include a company subscription with one included active seat, paid additional company seats, a solo operator subscription, and ProfitLine self-paid rep billing when enabled. Subscriptions are recurring. You authorize charges for subscriptions, active seats, taxes if applicable, and other amounts due.
Stripe handles payment method collection and the Customer Portal for eligible subscription management, invoices, payment methods, and cancellation controls. A failed, incomplete, past-due, unpaid, canceled, or expired subscription may pause or lock access except for billing and support surfaces. Cancellation generally takes effect at the end of the paid billing period unless a different rule is required by law, Stripe state, or a separate written agreement. Credits, prorations, and refunds are handled according to the active Stripe subscription configuration and applicable law; we do not promise cash refunds unless expressly stated.
Voice and calling usage is billed separately at exact provider cost as implemented. Calling may be paused if usage charges cannot be collected.
8. Twilio Calling
SurgeIQ calling uses Twilio and related infrastructure. Browser outbound calls may use an assigned SurgeIQ/Twilio number as caller ID. Callbacks to assigned SurgeIQ/Twilio numbers may be forwarded to the user's stored personal callback phone. We may process call attempts, caller and recipient numbers, assigned SurgeIQ numbers, personal callback numbers, timestamps, statuses, duration, connected seconds, provider identifiers, routing metadata, and usage billing data.
Calls may fail, be delayed, be blocked, route incorrectly, or be unavailable because of provider, carrier, browser, network, configuration, recipient, billing, or compliance issues. SurgeIQ does not provide legal clearance for calls.
9. Outreach Compliance
You and your company are responsible for all outreach compliance, including do-not-contact requests, suppression records, consent requirements, calling hours, calling restrictions, caller identification, call recording rules if recording is enabled, email requirements, platform policies, federal and state law, industry rules, and rep supervision. This includes responsibility for determining whether TCPA, Telemarketing Sales Rule, FCC, FTC, CAN-SPAM, state telemarketing, privacy, or other rules apply to a particular contact or campaign.
You may not use SurgeIQ for prohibited outreach, harassment, deception, unlawful telemarketing, unauthorized messaging, or conduct that could harm provider, carrier, platform, or recipient trust.
10. Third-Party Services
SurgeIQ depends on third-party services and data sources, which may include Stripe, Twilio, Resend, Sentry, Cloudflare, hosting and infrastructure providers, Overture Maps, Google Places or other enrichment providers, public websites, and other business, crisis, data, security, monitoring, communications, and payment services. Third-party services may change, limit, delay, fail, or discontinue functionality. Their own terms and policies may apply.
11. Acceptable Use
You may use SurgeIQ only for lawful business purposes. You may not misuse the Service; interfere with security, billing, provider, or carrier systems; reverse engineer or scrape the Service; create unauthorized accounts; share credentials; access another customer's data; resell or redistribute lead data; submit malicious content; overload or abuse the Service; evade rate limits; misrepresent identity; conduct unlawful outreach; or use telecommunications features in a way that creates legal, carrier, provider, security, or reputational risk.
12. Suspension and Termination
We may suspend, limit, or terminate access for nonpayment, failed usage billing, suspected misuse, security risk, legal risk, provider or carrier issues, violation of these Terms, inaccurate account information, unauthorized access, or discontinuation of all or part of the Service. You may stop using SurgeIQ at any time, subject to billing terms and records retained under the Privacy Policy.
13. Customer Data and Privacy
Our Privacy Policy explains how we collect, use, disclose, and retain information. You represent that you have the rights, notices, permissions, and lawful basis needed to provide data to SurgeIQ and to allow us to process it to provide, secure, support, bill, and improve the Service.
14. Ownership
ProfitLine and its licensors own SurgeIQ, including the software, workflows, interfaces, designs, marks, documentation, scoring methods, recommendations, and related intellectual property. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use SurgeIQ for your internal business purposes. You retain ownership of data you submit, subject to the rights you grant us to operate the Service.
15. Changes
We may modify SurgeIQ and these Terms from time to time. Updated Terms will be posted here with a revised date or version. We may require renewed acceptance for material updates. Continued use after changes become effective means you accept the updated Terms.
16. Disclaimers
SurgeIQ is provided "as is" and "as available." To the fullest extent permitted by law, ProfitLine disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, uptime, security, uninterrupted or error-free operation, telecommunications performance, data quality, lead quality, recommendation accuracy, timing accuracy, enrichment accuracy, crisis-data accuracy, and business results.
17. Limitation of Liability
To the fullest extent permitted by law, ProfitLine AI LLC and its owners, officers, employees, contractors, suppliers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages; lost revenue; lost business; lost data; service interruption; failed outreach; inaccurate leads; compliance failures; telecommunications failures; provider issues; or business outcomes. To the fullest extent permitted by law, our total liability for any claim relating to SurgeIQ will not exceed the amounts you paid us for the Service in the three months before the event giving rise to the claim, or $100 if you have not paid us.
18. Indemnification
You will defend, indemnify, and hold harmless ProfitLine AI LLC and its owners, officers, employees, contractors, suppliers, and affiliates from claims, losses, liabilities, penalties, costs, and expenses arising out of or related to your use of SurgeIQ, your data, your business activity, your outreach, your users or reps, your violation of these Terms, your violation of law, or your violation of third-party rights.
19. Governing Law and Venue
These Terms are governed by North Carolina law and applicable United States federal law, without regard to conflict-of-law principles. Unless a different forum is required by law, the exclusive venue for disputes will be the state or federal courts located in North Carolina, and each party consents to personal jurisdiction there.
